Terms of Service

1. Acceptance of Terms

By placing an order with How Digital you agree to be bound by these Terms of Service. These terms apply to all sales, quotes, and business relationships between How Digital and its customers.

2. Payment Terms

2.1 Standard Payment Terms
  • Net 30 Days: Payment is due within thirty (30) days from the invoice date
  • All payments must be made in U.S. dollars unless otherwise agreed in writing
  • Payment methods accepted include ACH transfer, wire transfer, and company check

2.2 Late Payment Penalties
  • A one-time 5% late charge shall be applied to all invoices that remain unpaid 75 days after products are shipped
  • Interest charges of 1% per month (12% annually) will be applied to all overdue balances after 75 days 
  • Accounts with balances over 75 days past due will be placed on hold, suspending all new orders until payment is received 
  • Customer is responsible for all reasonable collection costs, including attorney fees, if legal action becomes necessary
  • Repeated tardiness shall result in revocation of customer credit lines

2.3 Credit Terms and Approval
  • New customers may be required to provide credit references or financial statements
  • Credit limits may be established and modified at our sole discretion
  • We reserve the right to require prepayment or additional security for any order

3. Orders and Acceptance

3.1 Order Processing
  • All orders are subject to credit approval and product availability
  • Orders are not binding until accepted by How Digital in writing
  • We reserve the right to reject or cancel any order at our discretion

3.2 Pricing and Changes
  • Prices are subject to change without notice
  • Quoted prices are valid for 30 days unless otherwise specified
  • Custom orders and specifications may require additional lead time and costs

4. Shipping and Delivery

4.1 Shipping Terms
  • Standard shipping terms are FOB Origin (freight and risk pass to customer at our facility)
  • Delivery dates are estimates and not guaranteed
  • Customer is responsible for inspecting goods upon receipt

4.2 Title and Risk of Loss
  • Title and risk of loss transfer to customer upon shipment from our facility
  • Claims for shipping damage must be filed directly with the carrier

5. Returns and Warranties

5.1 Return Policy
  • Returns require prior written authorization (RMA)
  • Custom or special order items are non-returnable
  • Returned items must be in original condition and packaging
  • Restocking fees may apply (typically 15-25%)

5.2 Product Warranty
  • LED products carry our standard 5-year manufacturer warranty
  • Warranty claims must be submitted within warranty period with proof of purchase
  • Our liability is limited to repair, replacement, or refund at our option

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
  • Our total liability shall not exceed the purchase price of the specific products involved
  • We are not liable for indirect, consequential, or incidental damages
  • Customer assumes all risks related to the selection, installation, and use of products

7. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, government actions, supply chain disruptions, labor disputes, or material shortages.

8. Intellectual PropertyAll product designs, specifications, and technical information remain our proprietary property. Customer may not reverse engineer, copy, or distribute such information without written consent.

9. Dispute Resolution

9.1 Governing Law

These terms are governed by the laws of California, without regard to conflict of law principles.

9.2 Dispute Process
  • Good faith negotiation is required before formal legal action
  • Any legal proceedings must be filed in Los Angeles, California
  • Prevailing party is entitled to reasonable attorney fees and costs

10. General Provisions

10.1 ModificationsThese terms may only be modified in writing, signed by an authorized representative of How Digital.

10.2 Severability

If any provision is deemed unenforceable, the remaining provisions remain in full effect.

10.3 Entire AgreementThese terms, together with any written agreements and purchase orders, constitute the entire agreement between the parties.
